This Terms of Service Agreement ("Agreement" or "Terms") is a legally binding contract between you ("You" or "User") and SURIKAN.COM ("we," "us," or "our"). This Agreement governs your access to and use of the SURIKAN.COM website, the AiReceiver software ("Software"), and all related services, signals, and indicators (collectively, the "Services").
By accessing our website, purchasing a subscription, or using the Software, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement and our separate Risk Disclosure and Privacy Policy.
1. Service Description & License Grant
Subject to your compliance with these Terms and timely payment of all fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software on a single computer for the sole purpose of receiving and executing trading signals in your personal trading account on the NinjaTrader 8 platform.
2. NO FINANCIAL ADVICE
SURIKAN.COM IS A TECHNOLOGY PROVIDER, NOT A FINANCIAL ADVISOR. We are not a registered investment advisor, broker-dealer, or Commodity Trading Advisor (CTA). The Services are for educational and informational purposes only. All signals, trades, and information provided are generated by discretionary means and do not constitute financial advice, investment advice, tax advice, or a recommendation to buy, sell, or hold any security or futures contract. All trading decisions are your own.
3. Risk Acknowledgment & User Responsibilities
You acknowledge that trading futures is an extremely high-risk activity and you may lose all or more of your initial investment. By using the Services, you accept full responsibility for all outcomes in your trading account.
You are solely responsible for:
- Obtaining, funding, and maintaining your own trading account with a compatible broker.
- Installing, configuring, and monitoring the Software. This includes setting your desired contract size.
- Understanding the significant risks of futures trading and the additional technological risks of using an automated signal receiver.
- Monitoring your connection, computer, and broker platform for any failures. Operation of this system requires user knowledge and supervision.
You must read and agree to our full Risk Disclosure before using the Services.
4. Fees, Payments, and Refund Policy
A. Subscription & Performance Fees
You agree to pay all fees associated with your chosen plan, as detailed on our Pricing page. This may include:
- A recurring monthly or annual Subscription Fee, billed in advance.
- A Performance Fee (e.g., 50%) based on gross profits generated by the Software, as specified in your plan.
You acknowledge that you are responsible for 100% of any and all trading losses, and that Performance Fees are only calculated on profits, not netted against losses.
B. No Refund Policy
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. Due to the digital nature of the Software and the immediate access to proprietary information, we do not offer refunds, pro-rated or otherwise, for any Subscription Fees or Performance Fees, regardless of your trading results or if you choose to stop using the Services.
5. User Conduct and Restrictions
The Software and the signals it provides are our exclusive intellectual property and trade secrets. You agree that you WILL NOT:
- Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Software.
- Rent, lease, sublicense, distribute, share, or transfer the Software or your license to any third party.
- Share, re-transmit, publish, or "leak" any signals, trades, or indicator information received from the Services to any other person, group, chat room, or social media platform.
- Install or run the Software in a virtual machine (VM) environment or on any server for the purpose of distribution.
- Install or operate any other third-party trade copier, duplicator, or signal-sharing software while the AiReceiver Software is installed. The Software contains security features to scan for and detect such prohibited software. Detection of prohibited software is a material breach of this Agreement and will result in immediate termination of your license without refund.
You explicitly consent to the Software's security functions, which include scanning running processes and assemblies on your computer to enforce these terms.
6. Data Collection and Privacy
By using the Services, you consent to the collection and transmission of data as described in our Privacy Policy. You acknowledge and agree that the Software will collect and transmit your:
(a) System Information (MAC Address, IP, OS Version) for license validation;
(b) NinjaTrader Account Information (Account Name, PnL) for service operation and performance fee calculation; and
(c) Process Information to scan for prohibited software.
7. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
We do not warrant that the Services will be uninterrupted, error-free, timely, or secure. You acknowledge that technological systems can fail. We are not responsible for any failures, losses, or damages resulting from:
- Your internet connection or hardware failure.
- Your broker's platform or data feed.
- Our server downtime or connection issues.
- "Slippage," "gaps," or other market-related execution issues.
- Any errors or bugs in the Software.
IN NO EVENT SHALL SURIKAN.COM, ITS OWNERS, OR AFFILIATES BE LIABLE FOR ANY FINANCIAL LOSSES, TRADING LOSSES, OR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE AMOUNT OF SUBSCRIPTION FEES YOU HAVE PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless SURIKAN.COM and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or in any way connected with (a) your use of the Services, (b) your violation of these Terms, or (c) your trading activity.
9. Termination
We reserve the right to immediately suspend or terminate your access to the Services, without notice or refund, for any reason or no reason, including, but not limited to, any breach of these Terms (such as non-payment of fees or violation of User Conduct).
You may terminate this Agreement by ceasing all use of the Services, uninstalling the Software, and canceling your subscription. No refunds will be issued upon termination.
10. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of this Agreement shall be brought exclusively in the federal or state courts located in New Jersey.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
